Abstract:

Tato práce popisuje kupní smlouvu v mezinárodním obchodním vztahu. V období progresivní globalizace světové ekonomiky a hospodářství jsou obchodní vztahy na mezinárodní úrovni stále více běžné. Kupně – prodejní právní poměr, kde jeden ze subjektů je zahraniční, je vztah s mezinárodním prvkem. Kupní smlouva vyžaduje zvláštní hmotně právní úpravu, proto by jí měla být věnována důležitá pozornost, aby vzniklý vztah byl bezproblémový. Smluvní strany by si měly stanovit jasná pravidla a měly by vědět, který právní řád dané země bude použit, pokud se na uzavíranou kupní smlouva nepoužije Úmluva OSN o smlouvách o mezinárodní koupi zboží, jež byla uzavřena v roce 1980 ve Vídni („Vídeňská úmluva“) a která obsahuje úpravu kupní smlouvy s mezinárodním prvkem. V teoretické části mé práce jsem se snažila tyto základní pojmy a právní úpravy mezinárodní kupní smlouvy popsat a v praktické části jsem porovnávala způsob právní úpravy obchodní kupní smlouvy a obchodních podmínek u vybrané společnosti.

Abstract:

This work describes the purchase agreement in an international business relationship. At a time of progressive globalization of the world economy and economy, trade relations and the international level are becoming more common. Purchase – sales legal relationship, where one of the entities is foreign, is a relationship with an international element. The purchase contract requires special substantive legislation, so it should be given important atention to ensure that the relationship is seamless. The parties should lay down clear rules and know which country is law will apply down clear rules and know wich country is law will apply if the United Nnations Covention on Contracts for the International Sales of Goods, concluded in Vienna in 1980(the „Vienna Convection“), does not apply to the purchase contract concluded and which contrains an amendment to a purchase agreement with an international element. In the theoretical part of my work I tried to describes these basic concepts and legal regulations of the international purchase agreement and in the practical part I compared the method of legal regulation of the commercial purchase agreement and business conditions at a selected company.
