Transfer of the Registered Office of a Company from the Point of View of the Private International Law

Abstract:

The thesis identifies and analysis the reasons that hinder or prevent the unrestricted movement of companies. In concrete thesis evaluates the possibility of the transfer within European Union. The first chapter deals with freedom of establishment within the European Union and its provisions with their potential impact on the cross-border transfer of the companies' office. The second chapter deals with two generally applicable principles of private international law. In this context, the thesis focuses on two general principles (incorporation doctrine a real seat doctrine) and their possible effects. The third chapter deals with the possibility of the transfer within the European Union from different perspectives: 1.) the transfer of seat from the perspective of theories of personal status in the private international law, 2.) the transfer of seat from the perspective of European Court of Justice. The fourth chapter discusses the options relating to the transfer of the registered office of the company through a secondary legislation of European Union. In the end thesis focuses on development of coordinating directives about the presented problem.

Abstract:

Diplomová práca identifikuje a analyzuje dôvody, ktoré brzdia, či bránia neobmedzenému pohybu obchodných spoločností. Konkrétne práca hodnotí možnosť premiestnenia sídla v rámci Európskej únie. Prvá kapitola sa venuje problematike slobody usadzovania sa v rámci Európskej únie, základným ustanoveniam, ktoré o nej pojednávajú a ich možným vplyvom na pohyb sídla obchodných spoločností. Druhá kapitola sa venuje jednotlivým zásadám medzinárodného práva súkromného. V tejto súvislosti sa diplomová práca zameriava na dva všeobecné princípy (inkorporačný princíp a princíp skutočného sídla) a ich možné vplyvy. Tretia kapitola pojednáva o možnostiach premiestnenia sídla v rámci Euróspkej únie z rôznych pohľadov: 1.) premiestnenie sídla z pohľadu teórií osobného štatútu medzinárodného práva súkromného, 2.) premiestnenie sídla z pohľadu judikatúry Európskeho súdneho dvora. Štvrtá kapitola pojednáva o možnostiach, ktoré sa týkajú premiestnenia registrovaného sídla obchodnej spoločnosti na základe sekundárnej legislatívy Európskej únie. Na záver sa práca venuje rozvoju koordinujúcich smerníc ohľadne predloženej problematiky.
