Change of Business Company Seat inside of EU

Abstract:

Cílem této diplomové práce byla analýza možnosti přemístění sídla obchodní společnosti v rámci Evropské unie. Jelikož je možnost přeshraničního přesídlení úzce spjata se svobodou usazování fyzických i právnických osob, je této problematice věnována značná část práce. V první kapitole se práce obecně zabývá svobodou usazování s důrazem na vymezení oprávnění plynoucích z primární a sekundární svobody usazování. Následující kapitola se zaměřuje na analýzu primárních a sekundárních pramenů práva EU včetně definice obchodních společností oprávněných ze svobody usazování. Rozhodnutí Evropského soudního dvora je předmětem samostatné kapitoly, která pro důležitost judikatury v oblasti svobody usazování tvoří těžiště celé práce. Rozebrány jsou dle autorčina názoru nejvýznamnější rozsudky, přičemž rozbor každého z nich se sestává z podrobného popisu skutkového stavu, předběžných otázek a následné polemiky nad dopadem daného rozhodnutí na praktické využívání svobody usazování. Závěrem práce shrnuje možnosti přeshraničního přesídlení ve světle platných předpisů i judikatorních rozhodnutí.

Abstract:

The aim of this diploma thesis is to analyze possible ways of cross-border transfer of company seat within the European Union. For this issue is interwoven with the freedom of establishment of both natural and legal persons, a great part of the thesis deals with this topic. In the first chapter the freedom of establishment is dealt with on a general level whilst a great emphasis is placed on the rights resulting from the primary and secondary freedom of establishment. The following chapter contains an analysis of valid primary and secondary sources of the EU law including a definition of a company entitled to the freedom of establishment. Decisions of the European Court of Justice are a subject of an individual chapter forming the most important part of the thesis. In accordance with the opinion of the author, the most significant and important decisions are analysed in this chapter. The analysis of every decision includes a detailed description of the facts of the case and preliminary questions followed by a discussion over the conclusions drawn from the decision concerning their impact on the practice. In the end the thesis summarizes possible methods of cross-border transfer of a company seat according to the valid rules and judicature.
